These Terms and Conditions ("Terms") govern your use of the Northkeel website at northkeel.cyou and the advisory services we provide. Please read them carefully. By accessing our website or engaging our services, you agree to be bound by these Terms.

Northkeel is a business advisory firm registered in Malaysia, with its principal place of business at Unit 7-3, Block C, Plaza Kelana Jaya, Jalan SS7/2, 47301 Petaling Jaya, Selangor.

1. Website Use

2. Advisory Services

Our advisory services are provided on the basis of a separate engagement agreement entered into between Northkeel and the client. The scope, deliverables, fees and timeline applicable to each engagement are set out in that agreement. These Terms apply alongside any such agreement and, in the event of conflict, the engagement agreement shall prevail.

Our services are intended for business use. By engaging us, you represent that you are authorised to enter into an agreement on behalf of your organisation.

3. Fees and Payment

Fees for each engagement are agreed in writing prior to commencement. Unless stated otherwise in the engagement agreement:

• Invoices are payable within fourteen days of the invoice date.
• Fees are quoted exclusive of any applicable taxes, which will be added where required by law.
• We reserve the right to pause delivery of services where payment is overdue by more than fourteen days.

4. Intellectual Property

All content on our website — including text, graphics, structure and design — is owned by or licensed to Northkeel and is protected by applicable intellectual property law. You may not reproduce, adapt or distribute this content without our written consent.

Deliverables produced under an engagement agreement are subject to the intellectual property terms set out in that agreement. Where no specific terms are agreed, deliverables remain the property of Northkeel until fees are paid in full, after which a licence to use them for internal business purposes is granted to the client.

5. Confidentiality

We treat client information as confidential and will not disclose it to third parties without your consent, except where required by law or where disclosure is necessary to deliver the agreed services (for example, to a sub-contractor or professional advisor engaged under appropriate confidentiality obligations). We expect the same discretion in return regarding any non-public information about Northkeel or its methods that you may access during an engagement.

6. Limitation of Liability

Our advisory services are provided to help you think through strategic decisions. We take care in the preparation of all work, but we cannot guarantee any particular commercial outcome. To the fullest extent permitted by law:

• We are not liable for any indirect, consequential or special loss arising from use of our website or services.
• Our total liability in connection with any engagement is limited to the fees paid for that engagement.
• We do not accept liability for decisions made by you or your organisation on the basis of our advisory work.

Nothing in these Terms excludes liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

7. Third-Party Links

Our website may contain links to external websites. These are provided for reference only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

8. Accuracy of Information
